1. Introduction

These Terms of Service (“Terms”) govern your access and use of the website, reports, research, and services (“Services”) provided by Covesting Technologies Private Limited (“Covesting”, “Company”, “we”, “our”, “us”), a SEBI-registered Research Analyst entity (Registration No. INH000015835).

By accessing or using our Services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not use our Services.

This document is an electronic record under the Information Technology Act, 2000, and does not require signatures.

 

2. Eligibility

  • Users must be 18 years or older and competent to contract under Indian laws.

  • Services are available only to Indian residents as per SEBI regulations, unless otherwise permitted.

 

3. Nature of Services

  • Covesting provides independent research, reports, trade ideas, and analysis in compliance with SEBI (Research Analyst) Regulations, 2014.

  • We do not provide:

    • Stock broking or execution services

    • Investment advisory (except research reports/analysis)

    • Portfolio management services

  • Our role is limited to providing research and analysis. Final investment decisions rest solely with the user.

 

4. User Obligations

You agree to:

  1. Provide accurate registration details and update them when necessary.

  2. Maintain confidentiality of your account login and password.

  3. Use Services for lawful purposes only.

  4. Not reproduce, distribute, or misrepresent our research content.

  5. Review SEBI’s Research Analyst regulations and risk disclaimers before using our Services.

 

5. Risk Disclosures

  1. Market Risk – Investments in securities markets are subject to market risks. Prices fluctuate, and past performance does not guarantee future results.

  2. No Assured Returns – We do not guarantee or assure profits, accuracy of forecasts, or specific outcomes.

  3. Conflict of Interest – Our analysts, directors, or employees may hold positions in securities mentioned in research reports. Any such conflict will be disclosed as per SEBI rules.

  4. Independent Decision – Users should rely on their own judgment and/or consult with professional financial advisers before making investment decisions.

  5. Sector/Stock-Specific Risks – Research may focus on sectors or companies that are inherently more volatile or cyclical.

  6. Regulatory Risks – Changes in SEBI/RBI/GoI regulations, taxation policies, or global events may impact securities’ performance.

 

6. Disclaimers

  1. Research reports are prepared based on information believed to be reliable but we do not represent that it is accurate, complete, or up-to-date.

  2. Covesting shall not be liable for any loss (direct, indirect, incidental, or consequential) arising out of use of our research.

  3. Nothing published by us constitutes an offer to buy/sell securities.

  4. Reports are for educational and informational purposes only.

  5. Users are solely responsible for compliance with tax, legal, and regulatory requirements.

 

7. SEBI-Mandated Disclosures

  • Registration granted by SEBI does not imply approval, recommendation, or certification by SEBI.

  • The Company and its analysts are governed by the Code of Conduct under SEBI (Research Analyst) Regulations, 2014.

  • We maintain Chinese Walls and follow procedures to avoid conflict of interest.

  • Analyst certification (if applicable) will be disclosed in reports.

 

8. Confidentiality & Data Protection

We protect user data in compliance with applicable Indian IT and privacy laws. Data may be disclosed only to regulators, law enforcement, or as required under applicable law.

 

9. Intellectual Property

All content, reports, tools, and materials are the intellectual property of Covesting. Unauthorized copying, sharing, or resale is strictly prohibited.

 

10. Limitation of Liability

  • Covesting is not liable for investment losses, damages, or claims arising from reliance on our research.

  • Services are provided on an “as-is” basis without warranties of continuity, accuracy, or error-free performance.

 

11. Termination of Services

  • We may suspend/terminate access if users breach Terms, misuse Services, or violate SEBI/Indian laws.

  • Users may terminate their account anytime, but regulatory data may be retained for statutory compliance.

 

12. Governing Law & Dispute Resolution

  • These Terms are governed by Indian laws.

  • Courts in Bangalore, Karnataka shall have exclusive jurisdiction.

  • Disputes, if unresolved through mediation, shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with seat in Bangalore and language in English.

 

13. Force Majeure

We are not liable for delays or failures caused by circumstances beyond our control, including natural disasters, pandemics, strikes, or regulatory restrictions.

 

14. Updates to Terms

We may update these Terms at any time. Users are responsible for reviewing them periodically. Continued use constitutes acceptance of changes.
